We support Clients in drafting, negotiations and execution of contracts for the purpose of outsourcing of particular processes and areas of IT to external service-providers. We have drafted both the outsourcing contracts aiming at particular business processes (distributed and mass printing, collocation and hosting, call center, application’s support) and comprehensive agreements aiming at taking over the maintenance of IT as a whole or its substantial part (including takeover of an organized part of an enterprise and takeover of an establishment).

We develop an advanced and adapted to the needs of our Clients SLA/KPI mechanisms. In recent years we have been advising on cloud contracts with the external service-providers (Amazon, Apple, Google and Polish entities) and we also build hybrid solutions and dedicated cloud solutions for the capital groups. We develop strategies based on SaaS solutions rather than license.

  • drafting of outsourcing contracts aiming both at particular business processes and handing over of dedicated IT assets as a whole, including revenue model sharing and outcome based outsourcing,
  • developing, together with the Client, the KPI/SLA annexes with co-related payment and settlement of services mechanisms,
  • developing exit plans, along with legal mechanisms safeguarding the interests of the parties, including exit plans regarding intellectual property,
  • support in the process of transfer of staff with regard to outsourcing and the acquisition of employment contracts,
  • negotiating and giving opinions on cloud computing agreements, with a focus on data and personal data security,
  • developing solutions based on Iaas or Saas models, adoption of new service models instead of license models (capex/opex),
  • implementation of SaaS models under the regime provided for in art. 136 of the PPL,
  • negotiations and re-negotiations with national and international providers, experience in negotiations on the outsourcing with leading IT companies at an international level (direct negotiations with the headquarters in Europe and USA),
  • legal support in disputes arising during the project’s implementation, mediation support, representation in court and arbitrary proceedings.
